These B2B Terms & Conditions apply to wholesale accounts, wholesale orders, and business-to-business purchases from Alamea Hawaii LLC.

By applying for a wholesale account, accessing wholesale pricing, placing an order, or purchasing products from Alamea Hawaii LLC, you agree to these Terms & Conditions and any related policies posted on our wholesale website, including our Net Terms Information, MSRP Guidelines, Privacy Policy, and Legal & Compliance pages.

If there is a conflict between these Terms & Conditions and a written agreement, invoice, order confirmation, or account-specific approval issued by Alamea Hawaii LLC, the written agreement, invoice, order confirmation, or account-specific approval will control.

Alamea Hawaii LLC is a business-to-business wholesale supplier. Wholesale access is available only to approved retail partners and business customers.

To apply for or maintain a wholesale account, you may be asked to provide business information, resale documentation, tax information, store information, website information, or other verification details.

You represent that all information submitted to Alamea Hawaii LLC is accurate, current, and provided by an authorized representative of your business.

Accounts with past due balances may be placed on hold, and future orders may be delayed, declined, or required to be prepaid until the balance is resolved.

Wholesale customers are responsible for maintaining the confidentiality of their account login information.

You are responsible for all activity under your account, including orders placed, information submitted, and communications made through the account.

Wholesale pricing, account access, and related materials may not be shared with unauthorized users or third parties.

Please notify Alamea Hawaii LLC promptly if you believe your account has been accessed without authorization.

Wholesale pricing is available only to approved wholesale customers.

Prices may vary by product, collection, order quantity, account status, promotion, or other business factors. Wholesale pricing is subject to change without prior notice unless otherwise stated in writing.

Wholesale prices do not include taxes, shipping, handling, insurance, duties, customs fees, or other charges unless specifically stated.

Alamea Hawaii LLC reserves the right to correct pricing errors, product errors, or order errors at any time, including after an order has been submitted.

All orders are subject to review and acceptance by Alamea Hawaii LLC.

Submitting an order does not guarantee acceptance, product availability, shipping date, pricing, or fulfillment. Alamea Hawaii LLC may accept, decline, cancel, or modify an order for reasons including product availability, payment status, account status, pricing errors, suspected fraud, resale concerns, or compliance concerns.

Order confirmations are provided for convenience and do not guarantee that all items are available or ready to ship.

Minimum order quantities, minimum order values, case packs, or other order requirements may apply.

Product availability may change without notice. Some items may be limited, seasonal, discontinued, temporarily unavailable, or subject to production delays.

Because some products may include natural materials, gemstones, shell, wood, hand-finishing, or other organic elements, slight variations in color, grain, pattern, size, finish, and appearance may occur.

Payment terms are determined by Alamea Hawaii LLC and may vary by account.

Unless net terms are approved in writing, payment may be required before an order is released or shipped.

Alamea Hawaii LLC may provide Manufacturer's Suggested Retail Price, or MSRP, information for certain products.

Wholesale customers are responsible for reviewing and following Alamea Hawaii LLC's current MSRP Guidelines when advertising or listing Alamea products online.

Retail partners may make their own pricing decisions for sales made inside their physical retail store, subject to the terms of any written agreement or applicable Alamea policy.

Alamea products may be sold only through approved retail stores, galleries, boutiques, resort shops, websites, or other authorized sales channels connected to an approved wholesale account.

Wholesale customers may not resell Alamea products to unauthorized wholesalers, distributors, liquidation channels, unauthorized online marketplaces, or other sales channels not approved by Alamea Hawaii LLC.

Alamea Hawaii LLC may request updated resale information from time to time to protect product integrity, brand presentation, and customer experience.

Wholesale customers must receive approval from Alamea Hawaii LLC before selling Alamea products through online marketplaces, third-party platforms, social commerce shops, or other online channels not previously disclosed or approved.

Alamea products may not be listed online in a way that is misleading, inaccurate, inconsistent with Alamea-approved product information, or damaging to the Alamea brand.

Alamea Hawaii LLC may request that online listings be corrected, updated, or removed if they do not follow these Terms & Conditions or Alamea Hawaii LLC policies.

The Alamea Hawaii name, Alamea Hawaii LLC name, logos, product names, product designs, photography, written content, packaging, displays, and other brand materials are owned by or licensed to Alamea Hawaii LLC.

Approved wholesale customers may use Alamea-provided product images and descriptions solely to promote authorized Alamea products purchased through their wholesale account.

Alamea brand materials may not be copied, altered, redistributed, used for unrelated products, used to promote unauthorized products, or used in a way that suggests sponsorship, exclusivity, partnership, or endorsement without written approval.

Wholesale customers should use Alamea-approved product information when creating product listings, tags, signage, catalogs, online descriptions, and advertising materials.

Retail partners should not change product descriptions, material information, origin statements, care instructions, or other product claims unless approved by Alamea Hawaii LLC in writing.

Alamea Hawaii LLC is not responsible for claims, statements, advertisements, or representations made independently by a retail partner.

Shipping methods, costs, timelines, and carriers may vary by order, destination, product availability, and account arrangement.

Estimated shipping or delivery dates are estimates only and are not guaranteed unless specifically stated in writing.

Shipping charges, handling fees, insurance, duties, customs fees, and related costs are the customer's responsibility unless otherwise agreed in writing.

Risk of loss or damage passes to the customer when the order is delivered to the carrier, unless otherwise stated in writing.

Customers should inspect all shipments promptly upon delivery.

Claims for damaged, missing, or incorrect items must be reported to Alamea Hawaii LLC within 7 days of delivery.

Please include the order number, product item number, description of the issue, and photos of the product, packaging, and shipping label when available.

Alamea Hawaii LLC may, at its discretion, offer a replacement, repair, credit, refund, or other resolution after reviewing the claim.

Returns and exchanges are subject to approval by Alamea Hawaii LLC. Products may not be returned without prior authorization.

Returned products must be unused, unworn, unaltered, properly packaged, and in resalable condition unless the return is due to an approved defect or shipping issue.

Custom orders, special orders, discontinued items, clearance items, altered products, display items, and final-sale products may not be eligible for return or exchange.

Order changes or cancellation requests should be submitted as soon as possible. Alamea Hawaii LLC may not be able to change or cancel an order after processing, production, packing, or shipment has begun.

Wholesale pricing, discounts, product previews, account terms, price lists, business communications, and other non-public information provided by Alamea Hawaii LLC are confidential business information.

Wholesale customers may not share, post, publish, distribute, or disclose confidential wholesale information to unauthorized parties without written approval from Alamea Hawaii LLC.

Alamea Hawaii LLC may collect and use business and contact information as described in its Privacy Policy.

By using the wholesale website, applying for a wholesale account, or placing an order, you acknowledge that information may be collected, used, and shared as described in the Privacy Policy.

Wholesale customers are responsible for complying with applicable laws, regulations, tax requirements, advertising rules, consumer protection rules, product safety requirements, resale obligations, and business requirements that apply to their own business.

Alamea Hawaii LLC may decline, delay, or cancel transactions that raise concerns related to account verification, payment, fraud prevention, resale activity, product safety, restricted transactions, or brand protection.

Alamea Hawaii LLC strives to provide quality products and accurate product information.

Except as expressly stated in writing, products are provided "as is" and "as available." To the fullest extent permitted by law, Alamea Hawaii LLC disclaims all warranties not expressly provided in writing, including implied warranties of merchantability, fitness for a particular purpose, and non-infringement.

This disclaimer does not limit any rights that cannot be waived under applicable law.

To the fullest extent permitted by law, Alamea Hawaii LLC will not be liable for indirect, incidental, special, consequential, punitive, or exemplary damages, including lost profits, lost sales, business interruption, loss of goodwill, or loss of data.

To the fullest extent permitted by law, Alamea Hawaii LLC's total liability for any claim related to an order, product, account, or these Terms & Conditions will not exceed the amount paid by the customer for the specific product or order giving rise to the claim.

Alamea Hawaii LLC will not be responsible for delays or failure to perform caused by events outside its reasonable control, including natural disasters, severe weather, labor disruptions, supply chain issues, carrier delays, customs delays, acts of government, emergencies, utility failures, internet outages, system failures, or other events beyond its reasonable control.

Alamea Hawaii LLC may update these Terms & Conditions from time to time.

The updated version will be posted on the wholesale website with a revised effective date. Continued use of the wholesale website, wholesale account, or ordering services after updates are posted means you accept the updated Terms & Conditions.

These Terms & Conditions are governed by the laws of the State of Hawaii, without regard to conflict of law principles.

Any dispute related to these Terms & Conditions, wholesale account access, or wholesale purchases will be handled in the appropriate courts located in Hawaii, unless otherwise required by applicable law or agreed in writing by Alamea Hawaii LLC.
